Terms of Service

These terms govern your access to and use of MarginFence. By creating an account you agree to them on behalf of yourself and the organization you represent.
1. What MarginFence provides
MarginFence is software for recording out-of-scope work on client projects, calculating its cost and margin impact, issuing change proposals to your clients, and reporting on the outcomes.
All figures in MarginFence are derived from the information you enter. MarginFence does not verify contracts, invoices, timesheets or payments, and it does not provide legal, accounting or tax advice.
2. Accounts and organizations
You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account.
Each organization is a separate workspace. Owners and admins can invite members and manage settings. You are responsible for who you grant access to and for removing access when someone leaves your team.
3. Your data
You retain ownership of the client, project, scope, change, proposal and payment records you enter. You grant MarginFence the limited rights needed to store, process and display that data in order to operate the service for you.
You are responsible for having the right to enter any client information you upload, and for complying with the privacy laws that apply to your business.
4. Change proposals and client approvals
Change proposals sent through MarginFence are shared using secure links that expire. An approval recorded in MarginFence is a record of what your client agreed to through that link, at that time.
MarginFence is not a party to the agreement between you and your client. Whether an approval is contractually binding in your jurisdiction is a matter between you and your client.
5. Payments between you and your clients
MarginFence does not collect, hold or transfer money between you and your clients. If you add a payment link to a proposal, that link belongs to your own payment provider and is subject to their terms.
Payment status in MarginFence reflects only what you record. Opening or clicking a payment link never marks anything as paid.
6. Subscriptions and billing
MarginFence subscriptions are billed monthly in US dollars at the plan price shown at checkout. Plans renew automatically until cancelled.
You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
7. Acceptable use
Do not use MarginFence to break the law, infringe someone else's rights, attempt to access another organization's data, probe or disrupt the service, or resell access without our written agreement.
We may suspend or terminate an account that materially breaches these terms, normally after giving you notice and an opportunity to fix the problem.
8. Availability, warranties and liability
We work to keep MarginFence available and accurate, but the service is provided on an "as is" basis without warranties of any kind, to the fullest extent permitted by law.
To the extent permitted by law, our total liability arising from your use of MarginFence is limited to the subscription fees you paid in the twelve months before the event giving rise to the claim. We are not liable for lost profits or indirect or consequential losses.
9. Changes to these terms
We may update these terms as the product changes. If a change is material we will notify account owners by email or in the app before it takes effect. Continuing to use MarginFence after that date means you accept the updated terms.
